Foresio AI, LLC: Confidential Information and Non-Disclosure Agreement

1. Parties and Purpose This Confidential Information and Non-Disclosure Agreement ("Agreement") is entered into between Foresio AI, LLC, a Georgia limited liability company ("Foresio" or the "Company"), and the individual identified by the typed name and checkbox acknowledgment below ("Recipient"), as a condition of Recipient being granted access to the Resources tab of the Foresio intern dashboard (the "Resources Tab") and, more broadly, as a condition of receiving any internal Foresio document, file, credential, or material through any channel. This Agreement covers all internal Foresio materials, regardless of where or how Recipient receives them, including but not limited to: Login credentials for Foresio's demo account and any other demo, staging, or internal-use accounts; Pitch decks, investor materials, and fundraising documents; Demo videos, product walkthroughs, and unreleased feature previews; Business plans, financial projections, pricing, and strategy documents; Any file, video, credential, message, or document shared with Recipient by Foresio, whether through the Resources Tab, email, a shared drive, a printed handout, or any other means, and whether or not individually marked "confidential." All of the above are referred to collectively as the "Confidential Materials." This Agreement governs Recipient's access to and use of the Confidential Materials, wherever they come from. It applies regardless of whether Recipient has signed any other agreement with Foresio, and it remains in effect on its own terms. 2. Acknowledgment of Confidentiality Recipient acknowledges that: The Confidential Materials are proprietary and constitute trade secrets and/or confidential business information of Foresio; Access to the Confidential Materials is granted solely to support Recipient's assigned duties as a Foresio intern; Foresio would not grant access to the Resources Tab, or share any other internal document or material, without Recipient's agreement to the terms below; Unauthorized disclosure of the Confidential Materials could cause serious and irreparable harm to Foresio. 3. Recipient's Obligations Recipient agrees that, with respect to the Confidential Materials, Recipient will: Not disclose any Confidential Materials, in whole or in part, to any person or entity outside of Foresio, including friends, family, other students, other interns not authorized for that specific material, and any current or prospective business contact, without Foresio's prior written consent. This applies to every internal Foresio document or material Recipient receives, not only what appears on the Resources Tab. Not share, post, upload, or transmit any login credentials associated with the demo account or any other account accessible through the Resources Tab, to anyone, under any circumstance. This includes sharing credentials with other Foresio interns who have not been separately granted access. Not download, copy, screenshot, screen-record, print, or otherwise duplicate any Confidential Materials except where strictly necessary to perform assigned internship duties, and never for the purpose of retaining a personal copy after the internship ends. Not use the Confidential Materials for any purpose other than performing Recipient's duties as a Foresio intern, including not using them to benefit any other company, project, or personal venture. Take reasonable care to prevent accidental exposure of the Confidential Materials, including not leaving devices unlocked or logged in where others could view the Resources Tab, and not discussing specifics of the Confidential Materials in public or unsecured settings. Promptly notify Adnan Ezzi, CEO, if Recipient becomes aware of any actual or suspected unauthorized access to, or disclosure of, the Confidential Materials, whether caused by Recipient or by any other party. Cease all access and use, and permanently delete any local copies in Recipient's possession or control, immediately upon request by Foresio or upon the end of Recipient's internship, whichever comes first. 4. No License or Ownership Transfer Nothing in this Agreement, and no access granted under it, transfers any ownership interest, license, or right in the Confidential Materials to Recipient. All Confidential Materials remain the sole property of Foresio AI, LLC. 5. Exclusions Recipient's obligations under this Agreement do not apply to information that Recipient can demonstrate: Was already publicly known at the time of disclosure through no fault of Recipient; Becomes publicly known after disclosure through no act or omission of Recipient; or Is required to be disclosed by valid court order or applicable law, provided Recipient gives Foresio prompt written notice before disclosing, to the extent legally permitted, so Foresio may seek protective measures. 6. Duration Recipient's obligations under this Agreement are ongoing and do not expire. They survive the end of Recipient's internship, regardless of how or why the internship ends, and continue for as long as the relevant information remains confidential. 7. Remedies Recipient acknowledges that a breach of this Agreement may cause Foresio harm that cannot be fully remedied by money damages alone. Accordingly, in addition to any other remedies available at law, Foresio is entitled to seek injunctive or other equitable relief to prevent or stop any actual or threatened breach, without being required to post a bond. Foresio also reserves the right to pursue monetary damages and, where permitted by law, to recover its reasonable attorneys' fees and costs incurred in enforcing this Agreement against a breaching party. A breach of this Agreement may also result in immediate termination of Recipient's internship and revocation of all dashboard access. 8. Governing Law This Agreement is governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Recipient consents to the exclusive jurisdiction of the state and federal courts located in Georgia for any dispute arising under this Agreement. 9. Entire Agreement This Agreement is the entire agreement between Recipient and Foresio with respect to access to and use of the Confidential Materials, however and wherever received, and supersedes any prior discussions or understandings on that subject. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect. 10. Electronic Signature By typing your full legal name below and checking the acknowledgment box, you are signing this Agreement electronically. You agree that your electronic signature is legally binding and enforceable to the same extent as a handwritten signature, consistent with applicable electronic signature laws (including the U.S. ESIGN Act and Georgia's Uniform Electronic Transactions Act).
